What Basis extracts depends on what the document contains.
The extraction schema is designed for the structure of each document type. An annual filing and an earnings call carry different information, and the schema reflects that.
Annual and quarterly filings
- Income statement lines: total revenue, gross profit, operating income, net income, EPS diluted
- Balance sheet: cash and equivalents, total debt, net debt, goodwill, working capital
- Cash flow statement: operating cash flow, capex, free cash flow, dividends paid
- Segment data: revenue and operating income by business unit, with period and source
- MD&A: management discussion of results and outlook, key operational commentary
- Non-GAAP reconciliation: each adjustment line traced to the footnote that defines it
- Guidance: forward-period revenue, margin, and EPS ranges tagged by fiscal period
- Covenant tables: from credit-agreement exhibits, when the exhibit is filed with the 10-K or 10-Q
- Risk factors: full extraction with section headings preserved and delta from prior filing flagged
Prepared remarks and Q&A
- Revenue, margin, and EPS figures cited by CFO or CEO, each linked to the sentence
- Sequential and year-over-year growth rates as stated, tagged to the speaker
- Segment commentary: named contributions, geographic callouts, and volume disclosures
- Guidance: any number framed as forward-looking, tagged as guidance with the stated period
- Analyst questions paired with management responses, linked by exchange
- Verbatim quotes for any figure qualified by approximate language ('approximately', 'roughly')
- Tone markers: language around headwinds, cost pressure, demand, and competitive environment
Material events
- Event type: classified by Item number (1.01 credit, 2.02 results, 5.02 management, 8.01 other)
- Financial figures in the body text, linked to the sentence and paragraph
- Exhibit parsing: credit agreements, covenant thresholds, interest-rate terms, and maturity dates
- Guidance updates: any revised outlook stated in the 8-K body or attached exhibit
- Acquisition or disposition terms: deal size, consideration type, anticipated close date
- Material changes compared against prior agreements when the prior version is in the library
Registration and prospectus
- Historical income statements: three fiscal years when present, with period labels
- Use of proceeds table: by category and approximate allocation
- Risk factors: full extraction preserving section headings and subsection structure
- Cap table: share classes, named holders, percent of total, option-pool size
- Lock-up terms: duration, expiry date, and any early-release conditions stated
- Unit economics and key operating metrics as disclosed in the business section
Ownership and insider filings
- 13F: holdings by issuer, share count, market value, and quarter-over-quarter change
- 13D/G: beneficial owner, percent of shares outstanding, filing trigger, and stated purpose
- Form 4: insider name and title, transaction type, shares acquired or disposed, price, date
- Position changes flagged against the prior-period filing when available in the library
- Derived percent-of-outstanding computed from the share count in the most recent 10-Q
Foreign private issuers
- Financial data in the reported currency, with the currency and period recorded
- Period labels as defined in the filing (fiscal year end may differ from calendar year)
- Segment data as disclosed (structure and granularity vary by issuer)
- Risk factors and regulatory disclosures specific to the home jurisdiction
- Extraction quality note when the source is a translated document or a scanned exhibit
Proxy statement
- Executive compensation: named executive officers, total compensation, and components
- Equity awards: grant-date fair value, vesting schedule, performance conditions
- Director independence and committee memberships
- Related-party transactions: disclosed amounts and nature of relationship
- Shareholder proposals: proponent, description, and board recommendation
Investor presentation
- Figures on slides extracted with slide number and context as the citation
- Key performance indicators as labeled by management
- Guidance or outlook slides: values and stated period
- Comparison tables and peer benchmarks as laid out in the deck
- Quality note when figures differ from the most recent filing (decks are not audited documents)
The list above reflects what Basis extracts today. Some fields are only present in certain document editions (guidance appears in some 10-Ks and not others; covenant tables depend on whether the credit agreement is filed as an exhibit). When a field is absent from the document, Basis reports it as absent rather than leaving it blank.
When Basis reads, and in which languages.
Filings are read on EDGAR publication. Transcripts are read when the transcript text is released, typically within hours of the call ending.
Data freshness
When EDGAR publishes a filing, Basis reads it. There is no batch-import lag. The extraction is available in the library and via the API within minutes of the EDGAR acceptance timestamp.
Earnings-call transcripts are read when the transcript text is released. For most large-cap calls, the transcript becomes available within 2–4 hours of the call. Change alerts are dispatched when the extraction completes, not on a daily batch schedule.
8-Ks filed after market close are extracted and available before the next trading session opens. Priority queue for Team and Enterprise plans means the extraction completes within minutes of EDGAR ingestion.
Languages and regions
US SEC filings are in English. Basis reads English-language sources natively. Foreign private issuers filing on EDGAR under the 6-K and 20-F forms are read in English, as SEC rules require English-language filing for registrants using those forms.
Non-English source documents (home-market annual reports in the issuer's local language, for instance) can be uploaded directly. Extraction quality on non-English documents is lower and is noted explicitly in the output. Basis will not suppress a quality warning to appear more capable than it is on a given source.
All extracted currency figures are recorded with the currency as stated in the document. No currency conversion is applied silently.
Basis reads what you give it. It does not resell third-party data.
Every figure in a Basis extraction comes from the document you point it at or from a public source it reads directly. No licensed data is blended in without disclosure.
Basis is a reading and extraction tool. It reads the document you point it at and returns what is in that document. It does not pull from a proprietary financial database, and it does not blend extracted figures with licensed data without telling you.
When Basis reads a public EDGAR filing, the source is EDGAR and the citation records that. When it reads a transcript you provide, the citation records the transcript as the source. The provenance on each figure reflects where it was actually read.
This matters for compliance. Many funds have policies about which data sources are permissible inputs to an investment decision. Because Basis reads public documents and records the exact document and line for each figure, your compliance team can evaluate the provenance of every number in a Basis output without asking the analyst to reconstruct it.
