Terms of Service
The agreement between you and Basis Research, Inc. governing your use of the platform. If you have questions, contact us before you sign up.

These Terms of Service (the "Terms") govern your access to and use of the Basis research platform and website at basisresearch.tech (together, the "Service") operated by Basis Research, Inc. ("Basis," "we," "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Agreement to terms
These Terms constitute a binding agreement between you and Basis. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization to these Terms. In that case, "you" refers to that organization.
We may update these Terms from time to time. We will notify registered account holders of material changes by email at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
The Service
Basis is a research tool. It reads financial filings, earnings-call transcripts, and documents you provide, extracts figures with citations to their source lines, and drafts structured analysis. The Service is designed to reduce the time analysts spend gathering information so they can spend more time on judgment.
Basis is not investment advice. Nothing the Service produces constitutes a recommendation to buy, sell, or hold any security, a solicitation to trade, or any form of investment advice as defined under applicable securities law. Basis is not a registered investment adviser, a broker-dealer, or a fiduciary. The thesis, the position, and any decision are entirely yours. See our Disclosures for the full statement.
All outputs must be independently verified against primary sources before being relied upon. Basis surfaces its sources to make verification easier. Verification remains your responsibility.
Accounts
You must provide accurate information when creating an account and keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at support@basisresearch.tech if you suspect unauthorized access.
You may not share your account credentials with another person. Each seat on a Team or Enterprise plan is for one named individual. We reserve the right to suspend accounts that we reasonably believe are being shared in a way that circumvents per-seat pricing.
Acceptable use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service to process material non-public information in a manner that would violate applicable securities law.
- Attempt to reverse-engineer, extract model weights from, or reproduce the underlying software or extraction models.
- Use the Service to build a competing product or to systematically extract data for resale without our written consent.
- Upload content that you do not have the right to use or that infringes the intellectual property rights of a third party.
- Interfere with the security or integrity of the Service, including by attempting unauthorized access to systems or data belonging to other users.
- Misrepresent the outputs of the Service as investment advice or as the product of your own independent research without appropriate disclosure.
Free tier and paid plans
We offer a free tier that allows you to run the core extraction action up to 15 times per calendar month with no payment required. Paid plans (Analyst at $199 per month, Team at $149 per seat per month, and Enterprise at custom pricing) give access to higher usage limits and additional features as described on the Pricing page at the time of purchase.
Paid plans are billed in advance on a monthly or annual cycle, depending on the plan selected. Fees are non-refundable except where required by law or as stated in an order form. If you downgrade or cancel, access continues until the end of the current billing period.
We may change plan pricing with 30 days' notice to existing subscribers. Price changes do not apply to pre-paid annual terms until renewal.
Intellectual property
Your content. You own the documents, notes, extractions, and other content you upload or create in your workspace ("Customer Content"). You grant Basis a limited, non-exclusive license to store and process Customer Content solely to provide the Service to you. We do not claim ownership of your content and we do not use it to train models.
Our software. Basis owns all rights in the Service, including the platform software, extraction models, user interface, and documentation. Nothing in these Terms transfers ownership of the Service to you. You receive a limited, non-exclusive, non-transferable license to use the Service during the term of your subscription.
Feedback. If you provide feedback, suggestions, or ideas about the Service, you grant Basis a perpetual, royalty-free right to use that feedback without restriction or attribution.
Disclaimers
No warranty. The Service is provided "as is" and "as available." We do not warrant that the Service will be uninterrupted, error-free, or free from inaccuracies. To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Not investment advice. Outputs of the Service are analytical drafts based on the documents you provide. They are not advice, recommendations, or opinions on any security. They may contain errors. You must verify all figures against primary sources before relying on them.
Verify figures. The accuracy of any extracted figure depends on the quality and completeness of the source document you provide. Basis links every figure to its source to make verification straightforward. That link does not substitute for your review.
Limitation of liability
To the maximum extent permitted by applicable law, Basis and its directors, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or trading losses, arising out of or in connection with your use of the Service, even if advised of the possibility of such damages.
Our total aggregate liability to you for any claim arising under or in connection with these Terms will not exceed the fees you paid to Basis in the 12 months before the claim arose. If you are on the free tier, our liability is limited to $100.
Termination
You may cancel your subscription at any time from your account settings. Basis may suspend or terminate your access immediately if you materially breach these Terms and fail to cure the breach within 7 days of written notice, or immediately for violations involving security, fraud, or applicable law.
On termination, your right to use the Service ends. Sections on intellectual property, disclaimers, limitation of liability, governing law, and any accrued payment obligations survive termination.
Changes to terms
We may revise these Terms at any time. For material changes, we will notify registered account holders by email at least 14 days in advance. The current version of the Terms is always available at basisresearch.tech/terms. If you do not agree to a revised version, you may cancel before the revision takes effect.
Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York. You consent to personal jurisdiction in those courts.
If any provision of these Terms is held unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
